Messaging Program Terms

The following terms govern the Operating Authority Practice Leadership System messaging program operated by Amatoris Media LLC.

Description Enrolled clients receive weekly voice note prompts and LinkedIn post drafts via WhatsApp. The agency owner receives operational alerts on a separate number.
Message frequency Approximately 1–3 messages per week per enrolled client. Operational alerts are sent as needed.

How to opt out Reply STOP to any message at any time. You will receive one confirmation and no further messages will be sent. Note that opting out of messaging is equivalent to pausing program delivery.

Eligibility

The Operating Authority messaging program and services are available only to:

  • Active clients under a signed service agreement with Operating Authority / PB&J
  • Individuals aged 18 or older
  • Individuals who have affirmatively opted in to receive program messages

By participating in the program, you represent that you meet these eligibility requirements. Enrollment in the messaging program is part of onboarding and constitutes opt-in consent.

Service Scope

Operating Authority provides practice leadership content strategy services, including:

  • Brand positioning and voice capture
  • Weekly voice note prompts delivered via WhatsApp
  • Transcription and content categorization of client voice submissions
  • LinkedIn post drafting in the client's voice
  • Ongoing content bank management

The specific scope, deliverable cadence, and engagement terms for each client are governed by the signed service agreement between the client and PB&J. In the event of any conflict between these Terms and a signed service agreement, the service agreement controls.

We do not guarantee specific outcomes such as follower growth, referral volume, or search ranking improvements. Content strategy results depend on factors outside our control, including platform algorithms, market conditions, and client participation.

Payment Terms

Payment terms are established in the client's signed service agreement. General terms:

  • A non-refundable deposit is required to begin the engagement, as specified in the service agreement
  • Ongoing retainer payments are due on the schedule established in the service agreement
  • Invoices unpaid after 14 days of the due date may result in paused service delivery
  • All fees are quoted and charged in USD
  • No refunds are issued for partial months of service delivered

Content Ownership

Content produced during the engagement is owned as follows:

Client owns:

  • All finalized content (posts, articles, positioning documents) delivered to the client
  • All voice recordings and transcripts derived from the client's own speech
  • The underlying clinical knowledge, opinions, and experiences captured in content

Operating Authority retains:

  • Proprietary systems, frameworks, prompts, and workflows used to produce content
  • Aggregate learnings about content formats and engagement patterns (not tied to individual clients)

We do not claim ownership over any content we help you produce. We do not publish, share, or repurpose client content outside the agreed scope of the engagement without explicit written permission.

Client Obligations

To receive the full value of the service, clients agree to:

  • Respond to weekly voice note prompts within the timeframe established in the service agreement
  • Review and approve or request revisions to drafts in a timely manner
  • Ensure that content submitted does not include patient PHI, confidential institutional information, or any material that would violate professional licensing obligations
  • Notify us of changes to their practice, specialty focus, or target audience that may affect content strategy
  • Maintain accurate contact information (WhatsApp number, email) throughout the engagement

Failure to participate in the program for more than 30 consecutive days without notice may be treated as a pause request and delivery will be suspended until re-engagement is confirmed.

AI Disclosure

Operating Authority uses AI tools — including OpenAI Whisper (transcription) and Anthropic Claude (content drafting) — as part of the content production workflow. All AI-assisted content is reviewed and refined by a human before delivery. No content is published on your behalf without your review and approval.

AI tools are used to increase efficiency and maintain consistency, not to replace editorial judgment. The clinical knowledge, opinions, and voice in all published content originate from you.

If you have concerns about the use of specific AI tools in your engagement, raise them before signing your service agreement.

Limitation of Liability

To the fullest extent permitted by applicable law, Operating Authority and Amatoris Media LLC shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages arising from use of our services
  • Loss of revenue, referrals, or business opportunities alleged to result from content strategy decisions
  • Errors or interruptions caused by third-party platforms (Twilio, Airtable, OpenAI, Anthropic, Make.com, LinkedIn)
  • Any claim arising from content that the client approved for publication

Our total liability for any claim arising from these Terms or the services is limited to the fees paid by the client in the three months preceding the claim.

You are solely responsible for ensuring that content you publish complies with applicable professional licensing rules, platform terms of service, and any institutional policies that apply to your practice.

Termination

Either party may terminate the service engagement per the terms in the signed service agreement. Upon termination:

  • Access to the program's messaging channel will be closed
  • All finalized content previously delivered remains the client's property
  • Client data will be retained for up to 12 months and then deleted, or deleted earlier upon written request
  • Outstanding fees for services delivered remain due and payable

We reserve the right to terminate service immediately for material breach of these Terms, including submission of patient PHI, abusive conduct, or non-payment after notice.

Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising from these Terms or the services that cannot be resolved informally will be submitted to binding arbitration in Colorado, under the rules of the American Arbitration Association.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of our services after an update constitutes acceptance of the revised Terms. Material changes will be communicated to active clients via email or the program messaging channel.
